Updates From ACC Committees

Message From the Chair

It is truly an honor to serve as Chair of the Corporate and Securities Law Committee. I see big things ahead for the Committee, including a new sponsor and a number of new additions to our leadership team. We have one of the largest memberships of any ACC committee, and our members have diverse backgrounds, geographies and levels of experience. We plan to continue to offer programs with relevant and timely topics through webcasts, our monthly legal quick hits and reference materials that help our members develop and deepen their expertise. We will also use this newsletter to share topics of interest to our membership. I hope that you will take the time to share any ideas or volunteer to help this Committee. I would welcome the opportunity to spend a few minutes—via email, telephone or in person—with any of you to discuss how we can make the Committee as valuable as it can be to you and your practice.

I am currently an in-house corporate and securities lawyer at a publicly-traded software company in New England. I have expertise in corporate law, securities regulation, corporate governance, executive compensation, investments and strategic transactions and risk management. I have spent more than five years in senior in-house roles, following a number of years at two international law firms and nearly three years on the staff of the Division of Corporation Finance at the Securities and Exchange Commission.

“Behind the SEC Curtain—Practical Tips for Interacting With the SEC Staff” 

December 12, 2017 at 4:00 PM ET / 8:00 PM GMT

Please join us for this legal quick hit presented by Jay Knight from Bass, Berry & Sims. Before returning to private practice in 2012, Jay served for five years in the Securities and Exchange Commission’s Division of Corporation Finance. He currently heads the Capital Markets Subgroup at Bass, Berry & Sims.

The presentation will offer practical tips from a former SEC staffer on how to interact with the SEC staff; the screening and review process for registration statements, periodic reports and proxies; recent areas of focus; and current developments at the Commission and staff.

Believe it or not, we are already starting to work on programs for the 2018 Annual Meeting! If you have an idea for a program, we want to hear from you! Please include the following information:

  • Title
  • Level of Skill (Beginner/Intermediate/Advanced)
  • Ethics (Yes/No)
  • Description (a few sentences about the program)
