Updates from ACC Networks

Message From the Chair

It has truly been an honor to serve as Chair of the Corporate and Securities Law Network for the past nine months. I continue to see big things ahead for the Network, including welcoming our new sponsor, Latham & Watkins.  We are very excited to have such a well-respected team of lawyers with a global presence on board as our sponsor.  I also expect that we will continue to add new folks to our leadership team that is already filled with talented and thoughtful in-house counsel.

We have the second largest membership of the ACC networks, and our members have diverse backgrounds, geographies and levels of experience.  We plan to continue to offer programs with relevant and timely topics through webcasts, our monthly legal quick hits and reference materials that help our members develop and deepen their expertise. I encourage you to take advantage of our online e-groups to interact with other members, weigh in on key issues and ask pertinent questions of the group.  We will also continue to use this newsletter to share topics of interest to our membership.  I hope that you will take the time to share any ideas or volunteer to help this Network. I would welcome the opportunity to spend a few minutes—via email, telephone or in person—with any of you to discuss how we can make the Network as valuable as it can be to you and your practice.

With over 2,400 lawyers in more than 30 offices today across the US, Asia, the Middle East and Europe, Latham is positioned in the world’s major financial, business, and regulatory centers to serve clients — wherever they may be. Latham is committed to helping clients achieve their business strategies and providing outstanding legal services around the world that are tailored to meet our clients’ needs.

Latham has a unique capacity to provide a comprehensive spectrum of transactional, corporate, regulatory, financing, and litigation legal services at all stages of a company’s life cycle and growth phase. Our internationally recognized practices can provide in-house counsel with innovative solutions to any complex business and legal matters that may arise over the course of business. Some practice areas to highlight include:

· Public Company Representation. Latham partners with in-house counsel and executive management to consider the legal ramifications of key business decisions and ensure compliance and best practices. For some clients, Latham acts as the primary outside legal counsel advising on day-to-day operations; while for others the firm serves as an adjunct to in-house legal departments, counseling clients in highly specialized areas of the law.

· Capital Markets. Latham is looked to by corporates, private equity firms and investment banks as a leader in the global capital markets for assistance with the world’s largest and most complex equity and debt securities offerings. Clients of all sizes across a range of industries rely on Latham’s capital markets team to help them raise trillions in proceeds through a broad array of securities products, from the standard to the most innovative and complex.

· Securities Litigation and SEC & Regulatory Enforcement. Companies, their directors and officers, underwriters, and accountants routinely turn to Latham’s highly experienced securities litigators to navigate high-stakes, “bet the company” litigation. The team is composed of experts in their fields of specialty and industry, and includes former associate directors at the SEC as well as former Assistant US Attorneys.

· National Office. Comprised of former senior officials at the SEC and top-ranked corporate lawyers, Latham’s National Office team works with clients to deliver intensely focused interdisciplinary expertise on some of the most challenging questions related to shareholder activism, US public company reporting and proxy matters.

· Corporate Governance. Latham’s corporate governance lawyers serve as seasoned crisis counselors to corporate clients in high-profile and often high-risk situations. The team regularly counsels members of the board of directors, the board as a whole, and senior executives on the full range of corporate governance issues that confront companies and their leadership.

· Activism. Latham’s activism team brings a comprehensive approach to preparing for, deterring and defending against activism. The team consists of corporate lawyers, litigators and sector experts and is deeply experienced in developing shareholder engagement strategies, establishing best procedural and structural defenses and resolving and defeating activist campaigns.

· Mergers & Acquisitions. Latham’s M&A Practice advises on transactions worldwide, offering clients the resources of a global firm, while maintaining an on-the-ground understanding of substantive legal matters, local markets and industry-specific issues. The M&A teams advise on multi-faceted acquisitions, sales, investments and joint ventures across the globe, while working seamlessly with the firm’s other complementary, leading practices.

· Benefits, Compensation & Employment. Latham works with businesses and their officers, boards and compensation committees in all facets of executive compensation arrangements and employee benefit plans. The team also works with clients in connection with mergers, acquisitions, outsourcings, restructurings, and other transactions.

· Tax. Latham’s tax team has considerable experience handling matters for a diverse client base, including multinational corporations, financial institutions, private equity funds, Fortune 500 corporations, and emerging companies. Clients turn to our tax lawyers to create innovative structures and solve complex tax issues arising from transactions, controversies and general business operations.
