ACC Advocacy – We’ve Got You Covered
The constitutionality of the Public Company Accounting Oversight Board (PCAOB) and the Sarbanes-Oxley Act (Sarbox) which authorizes it are being examined by the U.S. Supreme Court. In oral arguments presented on December 7, 2009, a petitioner claimed that the PCAOB’s creation violates the Separation of Powers clause.  The fix could be relatively easy if the Court agrees, but the problem is that Sarbox does not contain a severability clause, and so any finding of constitutional problems and suggested fixes would require Congress to reauthorize the act.  Therefore, the concern is that a bill to reauthorize Sarbox will likely lead many on Capitol Hill to seek to amend or attach additional provisions.  ACC is closely monitoring the case, and we will provide updates on the case and what it may mean for in-house law departments as it becomes available.

Corporate and Securities Committee Comments on SEC’s Proposed Proxy Disclosure/Solicitation Rules
ACC’s Corporate and Securities Committee (CSL), in a letter filed September 15, 2009 registered concerns over several aspects of the SEC’s proposed Proxy Disclosure and Solicitation Enhancements.  CSL argues that the rules as proposed “will add pages to the proxy statements without adding ant real value to shareholders.”  For details check here.
