In January we reached 1000 members - a long standing goal of the Chapter. We are growing steadily as more and more in-house counsel are discovering the great benefits of membership!
With more exciting news, Tom Molchan, First Vice President, and the Corporate Counsel Excellence Awards Committee are feverishly planning the “Corporate Counsel Excellence Awards” to be held at The Union League of Philadelphia on April 15, 2010. This much anticipated event is a partnership with the Philadelphia Business Journal and it is designed to pay tribute to the unsung heroes of in-house practice. A diverse and notable panel of judges will award six awards:

To add to the mentioned cause for excitement, the Chapter initiatives that are in place for 2010:

Creation of Chapter Linked-In® Groups: a Chapter-wide, members only professional social networking group to communicate and network amongst other Chapter members.

Creation of the Young In-House Lawyer's Committee. Developed to meet the issues common to members under the age of 40, or less than 5 years as in-house counsel. Be sure to attend the Committee’s organizational meeting on February 18, 2010.
- Expansion of the Women Lawyers Initiative into a Board Committee, now renamed: In-House Women Lawyer’s Committee. This Committee will serve to plan and develop programming for women in-house counsel.
- Representation of DELVACCA and women in-house lawyers at the Legal Intelligencer's 2010 "Women in the Profession" Roundtable, to be held on February 17, 2010. Congratulations to past board member Lorraine Koc, Vice President and General Counsel of Deb Shops, Inc., for having been selected by the editorial staff of the Legal Intelligencer as the sole in-house counsel panelist.
- Successful organization of the Contracts & Commercial Law Committee and the Health, Biotech and Pharma Committee! Each Committee has held organizational meetings and each is well on their way to serve the needs of their respective members who practice in those areas of the law. If you haven’t already, please join a Practice Committee today!
In addition to the rolling out of these initiatives, the Chapter’s programming is falling into place nicely, with excellent CLE programs and networking events in the coming months, including:

The "Institute" Series: These are half-day morning programs featuring multiple CLE sessions along with breakfast served. Each of our Practice Committees will host one or two Institutes, covering a wide range of topics. The Chapter has already offered two Institute programs in late 2009 and each has received high praises from the attendees.
- New to In-House Symposium - March 24, 2010: We will once again hold the Symposium, with programs focusing on those new to in-house practice, with four sessions this year (expanded from three sessions in 2009).
- The Second In-House Counsel Conference - May 6, 2010: Over 300 members attended the Inaugural In-House Counsel Conference in April, 2009. This year, we expanded the Conference to consist of twenty CLE programs, four more than last year, and including a Chief Legal Officer track of programs. We will hold this year's Conference at the Downtown Marriott Hotel at 13th & Market Streets in Center City.
- Regional Meet Your Counterparts events: The Chapter is holding many networking social events throughout the Chapter’s service regions. Meet counterparts who practice in your area and enjoy good conversation, drinks and heavy hors D’oeuvres by attending these fun-filled events.
- GC Lunch Club: The popular "GC Lunch Club" features discussions relevant to the practice of chief legal officers and each is run by prominent general counsels in the region. The next GC Lunch Club event will be on Thursday, March 18, from 12:30-2:00 p.m., at Overbrook Golf Club in Villanova. The discussion leader will be Richard DePiano, President and General Counsel of Escalon Medical Corp., and the topic will be “The Dual Roles of Serving as General Counsel and Running a Business”.

Active Jobseekers Group - held its first meeting and its participants believe the group will be helpful during their in-transition status. The group will continue to meet monthly to share information and ideas for successful job hunting.

DELVACCA Reaches 1,000th Member!!
In late January 2010, DELVACCA reached a membership high point--its 1000th Member, with 1014 members as of the date of this publication! To put this membership count in perspective, ACC, as of December 31, 2009, consists of 25,600 members worldwide and DELVACCA ranks 8th in membership amongst the ACC Chapters (ranking in number of members below Washington DC area, San Francisco, Southern California, Chicago, Greater New York, Europe, and New Jersey (Northern).
Our 1000th member was Ronald J. Reybitz, Senior Counsel at PPL Services Corporation and here's what he had to say: "I am pleased to be DELVACCA's 1000th member! As busy in-house practitioners, we at PPL are often in need of good resources for our practices. We believe that our ACC membership will help to meet many of our needs, including "best practice" metrics and information. The cost of membership to PPL is a real value given the quality resources that we will be receiving. Congratulations DELVACCA on its growth and I look forward to participation with the Chapter".
The growth of the Chapter is consistent with the Chapter's strategic plan for growth. The viability of the organization and ACC as a whole, largely depends on the strengths of its membership roster. The Chapter continues to gain national prominence as one of the premier Chapters of ACC and the increase in membership can be attributed to the growing benefits that the Chapter provides.
The growth does not come without the Board's strong commitment towards supporting the initiatives and strong membership plan of the Chapter. Grace Manno, Second Vice President and Chair, Membership Committee remarks, "It was only a matter of time before DELVACCA reached its long-standing goal of surpassing more than 1000 members. This milestone is the culmination of efforts from many people, including my predecessor, Tom Molchan, and our previous Board Members and Officers. It’s also testament to the quality of the organization, its programs and events to be able to represent that DELVACCA is over 1000 members strong".

on Tom Molchan
Meet DELVACCA's 1st Vice President, Tom Molchan
1. Tell us a little bit about your personal background.
I was born and raised in the Pittsburgh area. I have become a die-hard Phillies fan and an avid Flyers fan, but I have not lost my allegiance to the Steelers. I was a Steelers fan long before they were Super Bowl champs, and always admired their style of play and classy ownership. I received my bachelor’s degree from Penn, where I fell in love with Philly, and went to law school at Columbia, where I did not fall in love with New York. I live in Villanova with my wife Diane. We have two children, Andrew, a senior at Georgetown, and Michelle, a freshman at Penn.
2. What was your first job?
During high school, I worked at a grocery store, doing just about everything. During college summer breaks I worked as a bank teller, having always had an affinity for money. My first job after law school was as an associate in the business department at Schnader, Harrison, Segal & Lewis in Philadelphia.
3. What motivated you to become a lawyer?
I majored in economics and minored in English. I was always drawn to the business world and also considered an MBA or Ph.D in economics, but in the end decided I liked working with words better than numbers. I was also attracted to the discipline and intellectual rigor of law, especially after an economics course in industrial market concentration, which introduced me to antitrust law.
4. Tell us about your in-house experience.
I have practiced in-house for most of my career. I was fortunate enough to be a corporate lawyer in Philadelphia at the time of the breakup of AT&T in 1983. One of the newly-formed regional operating companies, Bell Atlantic, was headquartered here. They were looking for lawyers to handle securities, acquisitions, treasury and finance matters, corporate governance and other matters, so I landed one of the first in-house jobs at a new Fortune 50 company. It was just a tremendous experience, with my getting more responsibility than I could ever hope to get elsewhere. After a few years I became general counsel of a subsidiary which provided information technology services. When Bell Atlantic sold the company in 1995, I served as general counsel of its successor, DecisionOne Corp., which went public a year later. In 2000, I became general counsel of Inacom Corp., another IT services company. I finally realized that I liked food better than technology, so in 2002 I joined ARAMARK Corporation as Senior Vice President and Associate General Counsel, where I oversee the legal affairs of the International, Sports and Entertainment, and Business and Industry groups.
5. What do you find most rewarding about your job?
As an in-house lawyer I have always enjoyed feeling that I was part of the business team, finding solutions to business problems, enforcing the company’s rights and minimizing risks. I’ve been fortunate to have the opportunity to work in public and private companies, of different sizes, in different industries, at various stages of growth (and sometimes decline). Each has presented a unique experience and opportunity to apply my skills. The variety of work has been amazing. With the current climate of enhanced regulatory scrutiny, the role of in-house counsel has never been more important.
6. Tell us about your position with DELVACCA.
I first joined DELVACCA many years ago, became inactive when I worked in the suburbs and traveled frequently, and then became active again when I joined ARAMARK. I was amazed at how vibrant the organization had become and how much it had grown. I was elected to the Board and then served two years as Treasurer. I served as Second Vice President last year and am currently First Vice President, with responsibility for Sponsorship and Programming.|
7. What do you find most rewarding about your association with DELVACCA?
Although I am committed to ACC’s and DELVACCA’s mission to serve the needs of, and advocate for, the in-house bar, the most rewarding aspect of my association with DELVACCA are the great people I have had the opportunity to meet and work with. It is rare that a professional association can actually have FUN, but with our wine tastings, bowling and billiards outings, Spring Fling – and, yes, CLEs specifically tailored to the needs of in-house counsel – we manage to do it.
8. What do you like to do in your spare time?
My wife and I attend many Phillies games, both home and away – I already have my tickets for Halladay’s debut in DC. I am an avid reader, both fiction and non-fiction, especially works on World War II, economic history, or Russian society. I enjoy classical music, ballet and drama. I serve on the Capital Campaign Committee for the Hope Partnership for Education, a private middle school in one of the most impoverished neighborhoods in Philadelphia. And as I mentioned, I enjoy food and trying new restaurants.
9. What advice do you have for new to in-house counsel?
Learn the company’s business, its competitive strengths and weaknesses, and its culture. Always do what’s right for the company – they’re your client – not necessarily what’s right for you, or your bonus, or your career; in the long run, it will pay off. Be willing to take chances; if the company just wants to take the safe road they don’t need your judgment. Learn to triage risk and fight for the things that really make a difference. Above all, be respectful to others, honest and ethical – the golden rule is always a good one to follow.
ACC Value Challenge and ACC Value Index
Important ACC Initiative: Reconnection of Value and Costs for Legal Services
DELVACCA Members are asked to participate in the ACC Value Challenge and the ACC Value Index. The Value Challenge is the number one initiative of ACC--it has grabbed national headlines and all in-house counsel are asked to learn about the Value Challenge and to participate in the ACC Value Index.
ACC believes that many traditional law firm business models and many of the approaches to lawyer training and cost management are not aligned with what corporate clients want and need: value-driven, high-quality legal services that deliver solutions for a reasonable cost and develop lawyers as counselors (not just content-providers), advocates (not just process-doers) and professional partners.
ACC has launched an initiative to reconnect value and costs for legal services and which will:
- Promote dialog among corporate counsel, law firms, law schools, and others who are interested in driving an alignment and focus on value;
- Develop methodologies and metrics that corporate counsel can use to assess the strengths and weaknesses of law firm vendors;
- Create tools that in-house counsel and firms can share to drive change in the performance of value-based legal services; and
- Enhance awareness and communicate success stories in achieving value and alignment.
As part of ACC Value Challenge, the Association has developed the ACC Value Index, a client satisfaction measurement tool that helps ACC members share meaningful information about the value they get from their outside counsel. It is a component of the larger ACC Value Challenge initiative, reconnecting the cost of legal services to the value provided.
The Value Index is a service for ACC members, by in‐house counsel, for in‐house counsel, which of course means that its depth and breadth depends on member contributions. ACC has received nearly 2000 reviews of more than 600 firms, so it’s already a valuable tool, but the more volume the better.
We ask all DELVACCA members to get on board and start sharing evaluations of the firms you engage, at the close of every matter. Then, next time you are seeking new outside counsel, you can use the ACC Value Index as a tool to find a firm that delivers on efficiency and service without compromising expertise, thanks to your fellow ACC members.

DELVACCA CLE Monthly Institutes a Success!!

On January 28, 2010, DELVACCA's Health, Biotech, and Pharma Committee held its first ever event, a three hour CLE Institute at the Union League of Philadelphia. More than forty DELVACCA members from the region's pharmaceutical companies, hospitals, and science research centers attended the event, which was sponsored by Conrad O'Brien, PC; Skadden, Arps, Slate, Meagher & Flom LLP; and Cozen O'Connor. Panelists, including Patrick Meehan, former U.S. Attorney for the Eastern District of Pennsylvania, presented on such timely topics as state physician disclosure trends, a review of emerging legal trends for pharmaceutical and medical device companies, and an overview of recently enacted changes to federal privacy laws.

Second Annual In-House Counsel Conference - May 6, 2010

The In-House Counsel Conference is back in 2010! DELVACCA is organizing the Conference, which will consist of twenty (20) CLE programs, with a track of four (4) programs strictly for chief legal officers/general counsels. The CLE offerings will be varied and will cover all disciplines of in-house practice:

Ready Or Not Pennsylvania Healthcare Providers, The RAC Audits Have Arrived

The time has come for all Pennsylvania healthcare providers to familiarize themselves with the Recovery Audit Contractor ("RAC") program and prepare themselves for an audit ikn the very near future.
Ready Or Not Pennsylvania Healthcare Providers, The RAC Audits Have Arrived

The time has come for all Pennsylvania healthcare providers to familiarize themselves with the Recovery Audit Contractor (“RAC”) program and prepare themselves for an audit in the very near future.
The RAC program was created through the Medicare Modernization Act of 2003 (“Act”). The Act directed DHHS to conduct a three-year demonstration program to detect and correct improper payments in the Medicare program.
For their efforts, RACs are paid a percentage of provider overpayments recovered and underpayments identified. The program represents the first time Medicare has paid a contractor on such a basis. Initially, California, Florida and New York were selected for the demonstration, as the largest states of Medicare utilization. The program later expanded to include Massachusetts, South Carolina and Arizona.
In the demonstration, RACs were bound by Medicare regulations when conducting claim reviews. They used medical personnel and proprietary techniques to identify claims that contained errors resulting in improper payments. Automated reviews occurred when the RACs identified improper payments because the provider clearly billed in violation of Medicare policies. For complex reviews, the RACs identified a likely improper payment and requested records from the provider to conduct a more in-depth review.
Over the course of the program, RACs collected more than $1.03 billion in improper payments. Factoring in underpayments returned to providers, claims overturned on appeal, and operating costs, the program returned $693.6 million to Medicare Trust Funds. Most overpayments were collected from hospitals and from inpatient rehabilitation facilities.
Congress required DHHS to make the RAC program permanent and nationwide by January 10, 2010. In Pennsylvania, CMS retained Diversified Collection Services as the state’s RAC. Under the permanent program, the earliest “look-back” date is October 1, 2007.
Many lessons have been learned from the demonstration program. CMS has provided RACs significant financial incentives to aggressively review and deny claims. Thus, Pennsylvania providers should promptly commence preparation for a RAC audit. The following are a few suggestions to make such an audit more tolerable:
-Providers should immediately begin to identify and monitor areas that may be subject to review;
- Providers should conduct internal assessments, including procedures and computerized programs to identify potentially errant coding and billing. To the extent such resources already exist, it is critical to make sure compliance is effective;
-Compliance officers need to continuously review new issues identified on the RAC’s web site to identify the types of claims being reviewed;
-Providers need to determine whether to set a reserve for future recoveries by RACs;
-Once the provider is advised of an audit, it needs to be prepared to respond in a timely manner to record requests. Failure to timely respond may result in a default determination of overpayments;
-If overpayments are identified, the provider must, where appropriate, timely work on appeals. There are various strategies that can be employed to succeed on appeal.
Now is the time to prepare for RAC audits. No internal activities will guarantee immunity from a audit. However, adequate education and preparation will enhance the provider’s preparedness during the review and potential success in the outcome. If internal resources are insufficient, outside counsel and consultants can play a key role in educating providers on their obligations and rights during the audit, analyzing self-assessment programs, submitting records, reviewing denials and submitting appeals.

DELVACCA recently held two networking events and a good time was had by all.
On January 27th, over 30 people gathered at Buffalo Billiards in Old City for an evening of networking and fun. Door prizes including Phillies and Flyers tickets, bottles of wine and more were given out. Flaster/Greenberg P.C. was our sponsor and host for the evening and we thank them.
Another networking event was held on February 3rd in South Jersey at Fleming's Steak House in Marlton, NJ. Dechert LLP was the sponsor and they awarded a $100 Gift Certificate to Fleming's Steak House to a lucky attendee. We would like to thank Dechert for hosting and sponsoring this event.
