Assist General Counsel in direction and oversight of all legal affairs of the REIT from both a real estate and corporate/securities perspective. *Position contingent upon successful IPO of American Assets Trust, Inc. Primary Responsibilities: For leasing, achieve an appropriate balance between protecting the company and pragmatic business terms, with expeditious turn-around on initial drafting and subsequent revisions so as to keep all leasing in-house. For property management matters, support property management and lease administration as requested with contract review, negotiation, interpretation and to help resolve and/or mitigate tenant matters, as well as manage litigation relating to tenant issues (unlawful detainers, lease damages, etc). For acquisitions and dispositions, negotiate or assist in negotiation of core documents skillfully and work interdepartmentally to confirm that appropriate personnel are aware of respective roles, responsibilities and expectations to meet critical deadlines. For development projects, identify solutions in light of satisfying key hurdles or requirements to facilitate a smooth process or resolution of an issue. For financings, work inter-departmentally to achieve smooth and successful closings, and maintain loan compliance post-closing (or for existing loans). Assist in review/preparation of public filings to comply with Securities and Exchange Commission requirements (10K, 10Q, 8K, Proxy, etc). Assist General Counsel in performance of corporate secretary duties, as requested (Section 16 filings, annual meeting preparation, corporate resolutions, etc.). For equity offerings, support and respond to underwriters' requests in order to assure a smooth closing which remains on targeted schedule. Assist in monitoring of Company’s investments and provide requisite legal review of documentation for accuracy and sufficiency. Perform other job-related duties as assigned. Requirements: Bachelor's Degree. Law Degree from an accredited law school. Licensed in CA. Minimum of 4 years experience in law with a specialization in real estate and business, preferably some public company securities experience (from outside counsel perspective or in-house). Proficiency utilizing Microsoft Office applications (Word, Excel and Outlook) and ability to learn company specific software. Travel is required to visit company locations, industry meetings, etc. Knowledge of real estate development, construction, leasing and finance. Well-developed communication, organizational and interpersonal skills. Effective negotiation skills. Effective at building relationships both internally and externally. Concise and clear writing skills. Strong verbal, organizational and interpersonal abilities. Ability to manage multiple tasks simultaneously. Ability to lead a team and be a valuable team member. Ability to identify problems and solutions pragmatically and concisely. Possess judgment and maturity to balance the interests of the matter at hand with the overall goals and values of the Company. Provides legal support for executive compensation and 401(k) plan matters. Preferred skills, education, and experience: J.D. from an ABA accredited and top tier law school and excellent academics. At least 5 years practicing Securities and Corporate Law with at least 3 years of experience at a nationally recognized law firm.· Corporate, securities and M&A experience required. International stock plan experience preferred but not required. Must have excellent written and verbal communication and interpersonal skills.
